**TIPSĒ SOCIAL CLUB, LLC

CALIFORNIA MEMBERSHIP TERMS & CONDITIONS**

By purchasing, enrolling in, or using a membership with TIPSĒ Social Club, LLC (“TIPSĒ,” “we,” “us,” or “our”), you (“Member,” “you,” or “your”) agree to the following Terms, governed by California law.

1. PRIVATE MEMBERSHIP COMMUNITY

TIPSĒ Social Club is a private, curated membership community. Membership provides access to opportunities and benefits, not guaranteed attendance or services. Offerings are subject to change at TIPSĒ’s discretion.

2. NO GUARANTEE OF ACCESS OR EVENTS

Membership does not guarantee admission to any event, event frequency, availability, or geographic coverage. All events are subject to capacity, venue rules, partner constraints, weather, and operational considerations.

3. FEES, BILLING, MEMBER CANCELLATION & NO-REFUND POLICY

  • Membership fees are charged in exchange for access to the TIPSĒ community, not for actual usage or attendance.

  • Members may cancel their membership at any time.

  • However, ALL MEMBERSHIP FEES ARE NON-REFUNDABLE, to the maximum extent permitted by California law.

If a Member elects to cancel:

  • No refunds, credits, or prorated amounts will be issued

  • Any unused time, benefits, invitations, or access are forfeited

  • Cancellation does not relieve the Member of payment obligations already incurred

  • Failure or choice not to attend events, dissatisfaction with offerings, personal scheduling conflicts, relocation, or change in circumstances does not entitle the Member to a refund.

4. TERM & EXPIRATION

Memberships remain active for the stated term unless canceled by the Member or terminated by TIPSĒ. Memberships automatically expire at the end of the applicable term unless otherwise stated in writing.

5. TIPSĒ’S RIGHT TO SUSPEND OR TERMINATE

  • TIPSĒ reserves the right, in its sole and reasonable discretion, to suspend, restrict, or terminate membership access at any time, with or without notice, including for conduct that is unsafe, disruptive, or inconsistent with community standards.

  • Termination by TIPSĒ does not entitle the Member to a refund, except where required by California law.

6. MEMBER CONDUCT

Members must comply with all event rules, venue policies, and staff instructions. Harassment, discrimination, unsafe behavior, or excessive intoxication may result in immediate removal and termination without refund.

7. EVENT MODIFICATIONS & CANCELLATIONS

TIPSĒ may modify or cancel events at its discretion. Event changes or cancellations do not entitle Members to refunds, credits, or extensions.

8. ASSUMPTION OF RISK & CALIFORNIA LIABILITY WAIVER

Participation involves inherent risks. To the fullest extent permitted by California law, Members assume all risks and release TIPSĒ from liability except for gross negligence or willful misconduct.

9. NON-TRANSFERABILITY

Memberships are personal, revocable licenses and may not be transferred, shared, or resold.

10. MEDIA RELEASE

Members grant TIPSĒ the right to use event imagery for promotional purposes, as permitted by California law.

11. CHANGES TO TERMS

Continued membership use constitutes acceptance of any revised Terms.

12. GOVERNING LAW & VENUE

These Terms are governed by California law. Any disputes shall be brought in Los Angeles County, California, unless otherwise required by law.

13. SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain in effect.

CALIFORNIA CHECKOUT ACKNOWLEDGMENT

I understand that I may cancel my TIPSĒ Social Club membership at any time, but all membership fees are non-refundable and unused benefits are forfeited.
